GTCYS Board of Directors Code of Conduct

The members of the Board of Directors of the Greater Twin Cities Youth Symphonies (GTCYS) acknowledge and accept the scope and extent of our duties as board members. We have a responsibility to carry out our duties in an honest and businesslike manner and within the scope of our authority, as set forth in the Nonprofit Corporation Act of the State of Minnesota and in the Certificate of Incorporation and Amended By-Laws of Greater Twin Cities Youth Symphonies (which are available for review).

We are entrusted with and responsible for the oversight of the assets and business affairs of GTCYS in an honest, fair, diligent and ethical manner. As members, we must act within the bounds of the authority conferred upon us and with the duty to make and enact informed decisions and policies in the best interests of GTCYS and its stakeholders. The Board of Directors has adopted the following Code of Conduct, and our members are expected to adhere to the standards of loyalty, good faith, and the avoidance of conflict of interest that follow:

Board Members will:

  • Comply with all applicable laws, rules, and regulations;
  • Conduct themselves in a professional, courteous, and respectful manner with GTCYS staff and fellow board members;
  • Act honestly, fairly, ethically, and with integrity;
  • Act in a manner to enhance and maintain the reputation of GTCYS;
  • Act in the best interests of, and fulfill their fiduciary obligations to GTCYS;
  • Act in good faith, responsibly, with due care, competence, and diligence, without allowing their independent judgment to be subordinated;
  • Be candid, and make available to and share with fellow members information as may be appropriate to ensure proper conduct and sound operation of GTCYS and its Board of Directors;
  • Disclose potential conflicts of interest regarding any matters that may come before the Board, and abstain from discussion and voting on any matter in which the Director has or may have a conflict of interest (see also Conflict of Interest Policy);
  • Not use their position as a board member to influence or interfere with decisions pertaining to students in GTCYS’ programs, including but not limited to: orchestra placement, position within section, behavior, assignment of solos, concerto winners, or choice of repertoire;
  • Respect the confidentiality of information relating to the affairs of GTCYS acquired during their service, except when authorized or legally required to disclose such information;
  • Not use confidential information acquired in the course of their service for personal advantage.

A Director who has concerns regarding compliance with this Code should raise those concerns with the President of the Board, the Chair of the Nominating and Governance Committee, or the Executive Director, who will determine the action to be taken.

Directors will annually sign a confirmation that they have read and will comply with this Code.
